SNGX VH Terms of Service

1. Definitions

1.1 "SNGX VH" means our AI video generation SaaS product.

1.2 "Input" means any content you submit, including prompts, scripts, images, videos, audio, and brand materials.

1.3 "Output" means any content generated by the Services based on your Input and model capabilities.

1.4 "User Content" means Input and Output together.

1.5 "Credits" means virtual service units used to measure usage. Credits are not money or cash-out assets.

2. Accounts, Registration, and Verification

2.1 You must provide true, accurate, and current registration information. You may not impersonate others or bulk-create accounts.

2.2 You are responsible for safeguarding your account, password, OAuth login, and API keys.

2.3 We may require additional verification for legal, payment, anti-fraud, or safety reasons.

2.4 If we reasonably believe you violated these Terms, we may warn, remove content, suspend jobs, freeze Credits, or terminate your account.

3. Services and AI Generation Limits

3.1 SNGX VH provides AI video generation, script and storyboard assistance, media processing, task queues, previews, and downloads. Services may call Seedance 2.0, Kling, Nano Banana 2, gpt-image-2, Claude Sonnet 4.6, and other models.

3.2 AI Outputs are probabilistic. Outputs are not factual endorsements, professional advice, or copyright registrations. You are responsible for reviewing accuracy and legality.

3.3 We may modify, suspend, or limit models, features, or pricing to maintain services or comply with law.

4. User Content Ownership and License

4.1 You retain all rights in your lawful Input. You represent that you have obtained all necessary rights and consents.

4.2 To the extent permitted by law, we assign or license to you any rights we may have in your Output.

4.3 You grant us a worldwide, non-exclusive, royalty-free, limited license to access, host, cache, transmit, render, store, and process User Content solely to operate the Services.

4.4 We do not use your Input or Output to train foundation models unless you expressly consent or law requires it.

4.5 Outputs may not be exclusive.

5. Commercial Use and Plan Benefits

5.1 If a paid subscription is marked as supporting commercial use, you may use watermark-free Output for ads, social media, e-commerce, and brand videos.

5.2 Free, Trial, or gifted benefits not marked for commercial use are for evaluation only and may not be used for paid delivery or ad campaigns.

5.3 Current pricing includes CNY plans at ¥58 / ¥428 / ¥1328 / ¥3988 and USD plans at $19 / $99 / $299 / $999. Actual prices are controlled by the checkout page.

6. Prohibited Uses

You may not use the Services for:

6.1 Illegal activity, fraud, scams, money laundering, gambling, prostitution, terrorism, or other unlawful goods or services.

6.2 Obscene or sexually explicit content, child sexual abuse material, graphic violence, hate, harassment, or defamation.

6.3 Using another person's likeness, voice, or identity without clear authorization; creating deepfakes or scam videos.

6.4 Political sensitivity, election interference, false political propaganda, or violating political advertising laws.

6.5 Intellectual property infringement, scraping Outputs, model distillation, reverse engineering, or bypassing safety guardrails.

6.6 Using Output in high-risk areas such as legal, medical, or financial as automated decisions without qualified human review.

7. Credits, Subscriptions, Payments, and Taxes

7.1 Credits measure usage for generation, rendering, retries, HD, watermark removal, storage, and model calls.

7.2 Credits are not cash. They may not be withdrawn, gifted, transferred, resold, or converted to fiat currency.

7.3 Subscription benefits are usually issued by billing period. Whether unused Credits roll over is determined by plan rules.

7.4 Mainland China users may pay through WeChat Pay; international users may pay through Stripe.

8. Refunds and Cancellations

8.1 Refunds are governed by our separately published Refund Policy and checkout-page descriptions.

8.2 Except where required by law, consumed Credits, generated Outputs, and delivered subscription periods are generally non-refundable.

8.3 If you initiate a chargeback, we may suspend order benefits and freeze Credits.

9. Data, Security, and Privacy

9.1 We process personal information according to our Privacy Policy and use reasonable security measures.

9.2 To provide the Services, we may process account info, login records, device info, payment info, task records, Input, Output, and moderation results.

9.3 You may not upload unauthorized sensitive personal information, children's data, or trade secrets.

10. Third-Party Services

10.1 The Services may integrate with Stripe, WeChat Pay, BytePlus, OpenAI, Google, Anthropic, Kling, Seedance, and others, subject to their terms.

10.2 We are not responsible for third-party service delays, interruptions, or payment failures beyond the limits stated in these Terms.

11. Service Availability and SLA

11.1 Unless a separate enterprise agreement states otherwise, our production monthly uptime target is 99.0%.

11.2 Scheduled maintenance, third-party failures, force majeure, and security incidents do not count against the SLA.

12. Our Intellectual Property

12.1 The Services, software, interfaces, workflows, templates, trademarks, and infrastructure are owned by us or our licensors.

12.2 Without written consent, you may not copy, modify, reverse engineer, or use the Services to build a competing product.

13. Content Review, Infringement Notices, and Enforcement

13.1 We may use human and automated review to enforce these Terms and legal obligations.

13.2 If you believe content infringes your rights, submit proof of rights and the location of the content.

13.3 We may preserve, disclose, or restrict information in response to valid legal process.

14. Disclaimers

14.1 To the maximum extent permitted by law, the Services are provided "as is." We do not warrant uninterrupted, error-free, accurate, or fit-for-purpose service.

14.2 You use AI Outputs at your own risk and must perform human, legal, and copyright review before publishing.

15. Limitation of Liability

15.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages.

15.2 Our total aggregate liability will not exceed the total fees you actually paid during the 12 months before the claim arose.

16. Indemnity

If any third-party claim arises from your User Content, use of the Services, or violation of these Terms, you will indemnify and hold us harmless.

17. Termination

17.1 You may stop using the Services at any time and request account deletion. Records needed for legal purposes may be retained.

17.2 We may suspend or terminate services because of a Terms violation, inactivity, failed payment, or legal risk.

18. Changes and Notices

18.1 We may modify these Terms for legal changes, safety risks, or product iteration. Material changes will have at least 30 days advance notice.

18.2 If you do not agree to a modification, you must stop using the Services. Continued use after the notice period means acceptance.

19. Governing Law and Dispute Resolution

19.1 Mainland China Services are governed by PRC law; disputes are submitted to the competent court in Chengdu, Sichuan.

19.2 US and international Services are governed by Delaware law; disputes are resolved through binding arbitration in Delaware.

20. Miscellaneous

20.1 These Terms are the entire agreement between you and us.

20.2 You may not assign your rights without our written consent.

20.3 The Chinese and English versions are intended to be consistent. The Chinese version controls for mainland China Services; the English version controls for US and international Services.
